You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree that we may use, copy, modify, and publish your Feedback without any restriction or obligation to compensate you. By providing Feedback, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate your Feedback into our Services. ## 7. Monitoring, Detection, and Enforcement Features Our Services include automated and manual tools designed to detect unauthorized or infringing uses of content registered within our network. These tools may analyze publicly available web data, social media platforms, and content submitted by users. While WEIR AI provides the platform and tools for this process, we do not independently investigate or verify the accuracy of user-submitted claims. By initiating a claim through our platform, you represent and warrant that you have a good faith belief that the use of the content in question is unauthorized, that all information you provide is accurate, and that you are authorized to act on behalf of the rights holder. WEIR AI is not responsible for errors, disputes, or outcomes arising from user-generated claims. Users are solely responsible for their enforcement actions and may face liability for false or fraudulent claims. WEIR AI reserves the right to suspend or terminate accounts that abuse the claims process. ## 9. Payment Terms ### Subscription Fees If you subscribe to our premium Services, you agree to pay all applicable fees. Your subscription may be billed monthly, annually, or as otherwise specified at the time of purchase. You authorize us or our third-party payment processor to charge your designated payment method on a recurring basis. Fees may be increased with prior notice. ### Revenue Sharing Certain Services may provide creators with payment for content licensed through our platform. The amount and schedule of such payments will be governed by the applicable Supplemental Terms. WEIR AI reserves the right to deduct applicable fees, withholdings, and transaction costs from any amounts owed to you. ### Payment Processing Payments are processed by third-party payment processors. By using our paid Services, you agree to the terms and privacy policies of such payment processors. WEIR AI is not responsible for issues arising from third-party payment processing. ## 10. DMCA Policy If you believe that your copyrighted work has been infringed, please submit a notice pursuant to the Digital Millennium Copyright Act ("DMCA") to our designated agent at the address below. A valid notice must include: - Identification of the copyrighted work you claim has been infringed; - Identification of the material you claim is infringing and its location; - Your contact information, including address, telephone number, and email; - A statement that you have a good faith belief that the use is not authorized; - A statement that your notice is accurate and that you are authorized to act on behalf of the copyright owner; and - Your physical or electronic signature. Indemnification You agree to indemnify and hold harmless WEIR AI, its affiliates, officers, agents, employees, and licensors from and against any claims, liabilities, damages, losses, and expenses, including attorney's fees, arising out of or in any way connected with your access to or use of our Services, your User Content, your violation of these Terms, or your infringement of the rights of any third party. ## 12. Disclaimers YOUR USE OF OUR SERVICES IS AT YOUR OWN RISK. OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ## 13. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, WEIR AI AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS PRIOR TO THE CLAIM. ## 14. Dispute Resolution and Arbitration ### Informal Resolution Before initiating formal proceedings, you agree to contact us first to attempt to resolve any disputes informally. If a resolution cannot be reached, either party may proceed to arbitration. ### Binding Arbitration Any dispute arising out of or related to these Terms or our Services will be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. Arbitration will take place in New York, New York, or another mutually agreed location. ### No Class Actions You and WEIR AI agree that all disputes will be resolved on an individual basis. You waive your right to participate in class actions, class arbitrations, or representative proceedings. ### Opt-Out You may opt out of this arbitration provision by notifying us in writing within 30 days of first using our Services. Governing Law These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes not subject to arbitration will be resolved exclusively in the state or federal courts located in San Francisco, California. ## 16. Limitation on Time to File Claims Any cause of action or claim you may have related to our Services must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred. ## 17. Modifying and Terminating Our Services We may modify, suspend, or discontinue any part of our Services at any time without notice. We reserve the right to terminate or suspend your account or access to our Services at any time, with or without cause or notice, including if we believe you have violated these Terms. ## 18. Miscellaneous ### Entire Agreement These Terms, together with any Supplemental Terms, constitute the entire agreement between you and WEIR AI regarding your use of our Services and supersede all prior agreements. ### Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. ### No Waiver Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. ### Assignment You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights without restriction. ### Third-Party Beneficiaries These Terms do not create any third-party beneficiary rights except as expressly stated. ### Interpretation The section headings in these Terms are for convenience only and have no legal or contractual effect. ## 19.
